Historically, raising capital has been reserved for high-growth startups or large businesses working with the banks on Wall Street. Our firm exists to bring the same access to capital to the small business entrepreneurs working on Main Street.
Who we work with
Self-funded Searchers
Many clients are self-funded searchers raising gap equity to fund an acquisition. Their deals are primarily funded by SBA loans, with the remainder being financed through seller financing and investor equity.
Independent Sponsors
We work with independent sponsors executing majority buy-outs in the Main Street and Lower Middle Market segments. These sponsors source, structure and execute deals, often with management in place.
Key Employee Buyouts
As many retiring owners plan exit, we have partnered with key employees and management teams to raise capital to finance a buy-out of a retiring owner.
Roll-ups & Hold-Cos
With the rise of roll-up and hold-co strategies, we have assisted a number of clients with strategizing on capital raising and investment structure for vehicles to acquire and operate multiple SMBs.

Rich Ramassini, CFP®️
Chief Executive Officer
Rich is the CEO of Main Street and brings decades of experience advising individual investors and business owners. Most recently, he was the Chief Sales and Strategy Officer for the fourth largest bank broker-dealer in the country. Rich is a CERTIFIED FINANCIAL PLANNERTM professional who graduated from the U.S. Naval Academy and served as a Navy Supply Corps Officer before beginning his financial services career.
Robert Moreiro
Chief Compliance Officer
Robert is the CCO of Main Street and brings decades of experience advising and representing regulated financial institutions. Robert spent over 10 years in enforcement at FINRA. He has supported broker-dealers and registered investment advisers in managing compliance. Robert has a J.D. from the University of Miami School of Law as well as an LL.M. in Securities & Financial Regulation from Georgetown University Law Center.
William Fry
Registered Representative
Will is a registered representative at Main Street. He brings transaction experience from dozens of small business deals, having spent time advising small business owners, key employees and entrepreneurs looking to acquire their first business. At Main Street, he works shoulder-to-shoulder with clients to help them achieve their goals. He has a dual degree from the Wharton School and the University of Pennsylvania.

FAQ
How long does it take to execute a capital raise for a business acquisition?
Normally the bottleneck on transactions is the lender or the speed at which the seller moves. The actual capital raise takes around 4-6 weeks, including due diligence, crafting the offering, engaging investors and collecting commitments.
What types of investors do you work with?
Our investor network is diverse. We work with everyone from SMB investment funds to family offices to individual accredited investors. Check sizes range from $15K to over $1M.
How much do you charge?
We charge a retainer that is due once we formally engage. We charge a placement fee between 7.5 and 10% of equity raised, based on the size and complexity of the deal. The placement fee is only due if the transaction closes.
When is the right time to engage Main Street for my deal?
When possible, we prefer to engage before an LOI is submitted so that we can provide guidance on terms and structure. Otherwise, we’re happy to chat once your LOI has been accepted.
Why work with a broker-dealer?
A broker-dealer brings experience and confidence to a capital raise. At Main Street, we work closely with management to diligence the transaction, review and iterate on marketing materials and projections, and engage with investors.

Typically, working with a broker-dealer makes sense if you are raising capital for the first time, executing a complicated or large deal, or rapidly acquiring companies and could use a partner to support you.
How do you support clients post-close?
Our engagements end once a transaction is completed and the compliance filings are made. If you are looking for post-close support, Mainshares, an affiliated entity, offers products and services for managing investors in your SMB.
Can you pre-qualify me to work with you on a transaction?
Yes. All pre-qualification services are done through the Mainshares platform. Please request a pre-qualification from your Mainshares account.
